Course Overview

This course will explore issues within the law of corporate finance, with reference to different legal systems. It will provide students with a wider and deeper understanding of various debt and equity finance issues that are crucial to the law of corporate finance.

Course Description

This course will cover a number of topics of particular relevance to the law of corporate finance. The content of the course will include a selection of the following:

  • Share capital: this will involve consideration of what share capital is and how it may be utilised for the purpose of raising finance for a company.
  • Issues in the ownership of companies: there will be exploration of certain issues involving the ownership of companies.
  • Stock markets and IPOs: there will be consideration of how public companies raise finance on the stock markets, with particular reference to initial public offerings of shares.
  • Mergers and takeovers: attention will be paid to legal issues arising in the context of one company merging with or acquiring another company.
  • Insider dealing and securities fraud: this will include discussion of what insider dealing is, the historical position regarding the regulation of insider dealing and what constitutes an offence under the current law.
  • Unsecured debt finance: this will involve consideration of the legal concepts of debt and credit and how and why companies raise funds by unsecured borrowing.
  • Securitisation and derivatives: there will be discussion of the concept of securitisation and how such transactions are constructed.
  • Secured finance: there will be consideration of the role of secured lending within the corporate finance sphere.

Feedback will be provided on an individualised basis to students on MyAberdeen. It will normally be provided within a maximum of three working weeks (excluding vacation periods) following the deadline for submission of assessments. Please note, however, that School regulations mean that the feedback and grades on the final assessment cannot be released until the final course grades are released after being reviewed and confirmed by the External Examiners.
