Course Overview

This is a compulsory law course for the LLM/MSc in Corporate Finance. It will provide a grounding for those who are new to law (including corporate finance law), while also offering deeper understanding to those who have previously studied law. The course will focus on key areas related to the specific field of corporate finance law in order to assist students with their studies in related courses. The course will principally focus on the laws of the UK (including English law and Scots law, where appropriate) but will also feature a notable comparative law element.

Course Description

This course serves as an introduction to corporate finance law. It will cover a number of topics of particular relevance to the subject. The content of the course will include the following:

  • Sources of law and legal systems: this will involve consideration of relevant legal sources, such as national legislation, cases, academic writings, international treaties and EU law. Attention will also be paid to different legal systems and how these compare and contrast to one another. The place of corporate finance law in these systems will also be considered.
  • Law of obligations: there will be discussion of fundamental aspects of the various parts of the law of obligations, including contract law, delict/tort and unjustified enrichment. The relevance of contract law to corporate finance will be explored.
  • Company law: attention will be paid to corporate vehicles, especially companies, with reference to corporate theory, the nature of companies and their operation and how they may seek to raise finance.
  • Property law: there will be consideration of the nature of property, classifications of property and what roles it serves in the context of corporate finance transactions.
  • Commercial law: this will incorporate analysis of various facets of commercial law applicable to corporate finance law, such as sale of goods, rights in security and the law of insolvency.
