Professor John Paterson from the University of Aberdeen will speak on "Reforming Corporate Governance: Revisiting Residual Risk", as part of the Law School's research seminar series 2013-14.
The financial crisis raised as many questions about corporate governance as it did about the regulation of banks and other financial institutions. Strikingly, the institutions most deeply implicated in the crisis were listed on the London or New York Stock Exchanges which were, after earlier crises, supposed to be subject to the highest standards of corporate governance. In this research seminar, we'll take a look at what went wrong, what reform has been carried out, whether that appears adequate and, if not, what further action might be required. As the title suggests, the paper I'm working on (and this might most accurately be described as a work in prospect as opposed to a work in progress) proceeds on the basis that the concept of residual risk might offer some answers. This is hardly a novel observation. Nobel laureate Oliver Williamson got there first. And the company law reform process in the UK which led to the Companies Act 2006 seemed to recognise this also. But neither Williamson nor UK company law reform appear to have followed through on the observation. What happens if we do?
