Transforming Perceptions: The Development of Pre-pack Regulations in England and Wales

The presentation will provide a systematical assessment of the extent to which the Administration (Restrictions on Disposal etc. to Connected Persons) Regulations 2021 achieve the goal of the government to quell the negative perceptions of pre-pack administration. The pre-pack has generated much criticism from disenfranchised groups who regard the practice with much suspicion. These criticisms have triggered questions as to whether and how to structure the regulation of pre-packs.

The presenter introduces original frames through which to distinguish the competing regulatory visions of the pre-pack as well as to systematically evaluate the regulatory frameworks that have been introduced. The evaluation reveals a gap between the regulatory visions of the critics and the regulator, which has impacted the structure and effectiveness of successive regulatory frameworks. Combining the frames with the expectation gap theory, the presenter argues that these reforms address most criticisms of the pre-pack but still fail to ensure that bad deals are stopped.

Dr Bolanle Adebola is an Associate Professor of Law at the University of Reading, UK. She is a leading expert in International Corporate, Governance and Insolvency Law, which she actively teaches and researches. She also specialises in International Commercial Arbitration, which she teaches through a module accredited by the Chartered Institute of Arbitrators (CiARB).  Her expertise cuts across the commercial law of both developed and emerging economies, with particular knowledge of the laws of England and Wales, the United States and Nigeria. 

Bolanle actively engages in capacity building. She has contributed to the training of judges, regulators, and practitioners. She was awarded the prestigious Arts and Humanities Research Council Grant, through which she established the Commercial Law Research Network Nigeria (CLRNN) – a network that promotes research and knowledge exchange on matters relating to the development and reform of commercial law in emerging economies such as Nigeria. She was previously awarded a British Council Early Career Researcher Grant.  

Bolanle is a member of the Business Recovery and Insolvency Practitioners Association of Nigeria (BRIPAN) and an academic member of INSOL International, INSOL Europe and the Insolvency Lawyers Association. She is a member of the National Assembly Business Environment Roundtable (NASSBER, Nigeria) Expert Network, an Associate of the Corporate Governance Institute (CGI), as well as a Fellow of the Higher Education Institute. She is also a contributing editor to the Lexis Nexis Encyclopaedia of Banking Law.  

Bolanle obtained her LLB from OlabisiOnabanjoUniversity, Ago-Iwoye, BL from the NigerianLawSchool, LLM from BangorUniversity and PhD from University College London.
